It was a pleasure working with Jake to draw up a legal agreement. He was very helpful and explained everything well. I felt reassured that I was in capable hands. There were a number of queries and Jake was available to answer all of these in good time. I would very much recommend Pre-Law.

I can’t recommend Jake enough. He helped me with an employment dispute following my dismissal and successfully negotiated a settlement agreement on my behalf. He took the time to really listen and understand what was a very difficult and complicated situation. He was professional, approachable and incredibly thorough, explained everything clearly and kept me updated throughout. I’m extremely grateful for Jake’s support and the outcome he achieved for me. I wouldn’t hesitate to recommend him to anyone needing employment law advice. Thank you so much, Jake!

Thank you pre law!! I recently bought a house at auction and had Jake at prelaw review the legal pack. Huge weight lifted once Jake had broke it down with me. He explained to me in simple and understandable terms, that even me with dyslexia could understand 😂 Thank you once again, I will be sure to let you know when I next buy a property.

We have used Pre-Law on a number of occasions and have always found them absolutely excellent. They are extremely professional, accommodating and helpful, and nothing ever seems to be too much trouble. Their service is always friendly and efficient, their pricing is very reasonable, and they make the whole process straightforward from start to finish. It is refreshing to deal with a company that genuinely seems to care about its customers and goes out of its way to help. We wouldn’t hesitate to use Pre-Law again and would highly recommend them to anyone looking for a professional, reliable and reasonably priced service.

Frequently Asked Questions

Yes. A commercial agreement does not necessarily have to be contained in a formally signed document to be legally binding. Depending on the circumstances, a contract can arise through emails, correspondence, conversations or the conduct of the parties.

Whether a binding agreement exists will depend on matters including what was agreed and whether the legal requirements for contract formation have been satisfied.

Where there is uncertainty, the relevant communications and conduct should be reviewed before either party assumes that no contractual obligations exist.

The appropriate provisions depend on how the partnership is intended to operate. Common matters include capital contributions, ownership shares, profit and loss allocation, drawings, management duties and decision-making procedures.

The agreement should also address what happens if a new partner joins or an existing partner retires, dies, becomes unable to work or is required to leave.

Exit provisions, valuation mechanisms and restrictions applying after departure can be particularly important because disputes often arise when the partnership relationship is changing.

Employment contracts should be reviewed where the existing wording no longer reflects the employee’s role or the way the business operates. This may arise following promotion, changes to remuneration, revised working arrangements or organisational restructuring.

A wider review may also be appropriate where older template contracts are being used across the workforce or where different employees have materially inconsistent terms.

Changing an existing employee’s contractual terms requires care. The appropriate process will depend on the proposed change and the contractual and employment law position.

A break clause gives one or both parties a contractual right to bring the lease to an end before the contractual expiry date, provided the requirements of the clause are satisfied.

The clause may specify a particular date, a notice period and conditions that must be complied with. The precise wording is important because failure to satisfy the contractual requirements can affect whether the break is effective.

A tenant considering exercising a break clause should therefore check the lease and relevant timetable well before the required notice is served.

The first step is usually to review the agreement and establish precisely what obligation is said to have been breached. The business should also retain relevant correspondence, invoices, records and other evidence connected with the dispute.

The contract may contain notice provisions, escalation procedures or requirements relating to dispute resolution that need to be followed before further action is taken.

Depending on the circumstances, the available options may include requiring performance, pursuing payment, negotiating a settlement, terminating the agreement or bringing a claim for damages.

Mediation can be appropriate for many commercial disputes, particularly where the parties want to explore settlement without committing the dispute to a final determination by the court.

A mediator does not normally impose a decision. Instead, the process gives the parties an opportunity to negotiate with the assistance of an independent third party.

Whether mediation is suitable will depend on the nature of the dispute, the parties’ positions, the value involved and whether there is a realistic prospect of reaching an agreed outcome.

Advice should generally be obtained once a dispute appears likely to become significant or before important steps such as termination, withholding payment or commencing proceedings are taken.

Acting early can help preserve evidence, clarify contractual rights and ensure that notice or procedural requirements are not overlooked.

Legal claims are also subject to limitation periods, so a business should not assume that ongoing negotiations or correspondence automatically protect its ability to bring proceedings later.
